DUTIES OF THE CHAPTER OFFICERS

EXECUTIVE BOARD

President:  The President, guided by PSCA’s strategic initiatives, sets the vision for the Chapter and oversees the day-to-day operation as that vision is carried out by all board and committee members. The President provides leadership to oversee the management of the affairs, funds, and property of the PSCA and to uphold the code of ethics as defined by the International Coach Federation.  The President presides at all meetings of the Board and of the Chapter and is the official communication channel for the Chapter.

The President shall sign instruments or documents that are lawfully executed on behalf of the Chapter. The President encourages coach training and credentialing to increase the professionalism of coaching, and promotes the benefits of PSCA membership to support membership growth.  The President attends the annual ICF Conference.  In case of the absence or disability of the President, or at the President’s or Board’s request, the President Elect or one of the Vice Presidents may be appointed to perform some or all of the President’s duties. Must be a credentialled ICF member of the Chapter and have served on the Board in the role of President Elect for one full year in the past two years.

Past President: To foster continuity of leadership, the President shall serve on the Board of Directors for one year following her/his term as the immediate Past President. The Past President provides historical perspective on process and procedure. The Past President coaches and mentors the Board members to success in their area and towards succession planning. Serves an ambassador to promote leadership opportunities for the Board of PSCA.  The Past President chairs the nominating committee, develops incoming Board slate and manages the process for electing the incoming Board officers. Must be a credentialled ICF member of the Chapter.

President Elect: The President Elect works closely with the President in preparation for his/her own term serving as President. The President Elect is prepared to assume the office of the President or temporarily act in that position at any time. The President Elect may be responsible for overseeing the activities and progress of various committees, programs and initiatives as directed by the President. Must be a credentialled ICF member of the Chapter and have served on the Board for one full year in the past two years.

VP of Finance:  The VP of Finance shall oversee and perform the Chapter’s official financial transactions, including check signing.  The VP of Finance is responsible to manage the fee-for-service Bookkeeper and CPA. The VP Finance is responsible for the oversight of financial records of the Chapter’s accounts in accordance with Generaly Accepted Accounting Principles (GAAP). The VP of Finance shall take the lead in developing PSCA’s annual budget, shall make recommendations for investment instruments, shall provide the Board an updated financial report each month and shall participate, with the Executive Board, in advising the feasibility of chapter expenditures and applying internal financial controls to help ensure PSCA’s fiscal responsibility to its members. The VP Finance manages the registration accounting at each monthly program. The VP Finance fascilitates the financial vehicles utilized by the website, ensuring accuracy and reporting standards are in place.  Must be a credentialled ICF member of the Chapter.

Secretary: The Secretary provides the oversight and maintenance of the official corporation records of the Chapter.  The Secretary provides leadership to engage and seek legal counsel for compliance to non-profit corporation regulations and other legal matters. The Secretary engages insurance broker to place Directors and Officers Liability Insurance for the Board members. The Secretary records and distributes the minutes of Board meetings.  Official records include By-Laws, tax statues records, incorporation papers, meeting agendas, minutes, policies, procedures, monthly program announcements, Board decisions, guidelines, financial reports and other proceedings of the Board and Chapter. The Secretary may be assigned responsibility for special projects (e.g., Regulatory Affairs Liaison, annual ICF reporting). Must be a credentialled ICF member of the Chapter.

GENERAL BOARD OF DIRECTORS

VP of Programs and Education: The Vice President of Programs directs a Program Committee to engage speakers and coordinate monthly programs that further the goals and respond to the needs of the diverse membership of the Chapter.  Programs shall be selected that are consistent with content guidelines established in the strategic planning process and with the intent to provide CCEUs for chapter members.  The VP of Programs collaborates with VP, Marketing to create program announcements. Oversee the contract process for annual venues.  VP of Programs is encouraged to initiate special events and webinars in addition to monthly membership programs as a value-add to PSCA members and also as revenue-raising opportunities.  Collaborate with VP, Marketing to advertise special events and webinars.  Must be an ICF member of the Chapter.

· Program Selection Committee (creates Presenter Guidelines and Program Evaluation Surveys)

·   Program Logistics Committee – Food, Greeters, Table Topics or other networking activities

·   SIG and Sattelite Coordination Committee

VP of Membership: The Vice President of Membership is responsible for the care of current members, creating and/or maintaining programs that help increase membership retention. The VP of Membership responds to questions regarding Chapter membership, inquiries about becoming a coach, and encourages members to become engaged with the Chapter through volunteering and other means. The VP of Membership provides a monthly membership report to the board. The VP of Membership may extend courtesies (gifts, cards, Service Awards and other acts of recognition) to members on behalf of the Chapter in recognition of life events, and service to the Chapter. Must be an ICF member of the Chapter.

VP of Marketing Communications & Public Relations: The Vice President of Marketing & Public Relations promotes the Chapter to enhance the Chapter’s image, visibility, and attraction of new members, both individual and corporate; uses the media and events to position PSCA as the “go to” organization for expertise on professional coaching in Washington. The VP of Marketing is responsible for marketing the monthly program announcements and directly manages the Web Editor to create email blasts and other internet advertising.  Must be an ICF member of the Chapter. 

Proposed VP Marketing & Public Relations Committees:

·   Promotional/PR Committee

VP of Sponsorships:  The VP of Sponsorships shall develop and enhance strategic partnerships with sponsors/advertisers that align with PSCA’s mission and benefit our members. The VP of Sponsorships will be responsible for proactively generating sponsorship & advertising dollars and ensuring that promises made to sponsors/advertisers are met.  The person filling this role will participate in determining annual revenue goals. Must be an ICF member of the Chapter.

VP Networking and Outreach: The VP, Networking and Outreach Leads the external networking efforts for the chapter including forging alliances with such associations as SHRM, ASTD and PNODN.  Creates networking opportunities with non-coaching related groups and associations to develop awareness of coaching in the larger business and neighborhood communities.  Attends other group and association meetings, ie., the Seattle Chamber of Commerce, Women in Technology, Society of Information Management, etc., to partner, share ideas and resources.
